PropTide Terms of Service

Welcome to PropTide. These Terms of Service ("Terms") form a binding agreement between you and PropTide operated by TARS Technologies LLC ("PropTide," "Company," "we," "us," or "our") governing your access to and use of the PropTide website, applications, software, content, challenge features, scoring systems, leaderboards, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, entering a challenge, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if:

• you are at least 18 years old or the age of legal majority in your jurisdiction, whichever is greater;
• you have the legal capacity to enter into a binding agreement;
• your use of the Services is not prohibited by applicable law; and
• you are not barred from using the Services under any applicable sanctions, export controls, or other legal restrictions.

The Services are intended for a general audience and are not directed to children under 13. We do not knowingly permit users under 13 to create accounts or provide personal information through the Services.

You represent and warrant that you satisfy all eligibility requirements each time you use the Services.

2. Nature of the Services

PropTide is a platform that offers skill-based trading-style challenges, rankings, leaderboards, analytics, and related community or competitive features. At this time, the Services are limited to challenge-based products and do not include any funded trading, evaluation account, brokerage, execution, custody, investment advisory, or portfolio management product unless expressly stated in a separate agreement.

Unless expressly stated otherwise for a particular feature:

• PropTide is not a broker-dealer, exchange, clearing agency, futures commission merchant, commodity trading advisor, investment adviser, bank, or money transmitter;
• challenge results are based on the rules, data sources, and scoring methodology specified by PropTide;
• any "portfolio," "balance," "profit," "loss," "return," or similar metric displayed in a challenge may be simulated, formula-based, or informational only and may not reflect actual executable trades, real-world fills, market impact, fees, slippage, or liquidity; and
• participation in a challenge does not create any right to manage Company capital, access a funded account, or receive any regulated financial product.

3. No Investment Advice; Educational and Entertainment Use

The Services are provided for informational, educational, analytical, entertainment, and competitive purposes only. Nothing on the Services constitutes:

• investment, legal, tax, accounting, or financial advice;
• a recommendation or solicitation to buy, sell, hold, or enter any security, commodity, event contract, swap, derivative, or other financial instrument;
• a guarantee of profit, performance, or trading outcome; or
• an offer to provide brokerage, execution, or asset-management services.

You are solely responsible for your own decisions, including any decisions you make on third-party platforms or in real markets.

4. Account Registration and Security

To use certain features, you may need to create an account. You agree to:

• provide accurate, current, and complete information;
• keep your login credentials confidential;
• promptly update your account information as needed; and
• notify us immediately if you suspect unauthorized access or misuse.

You are responsible for all activities that occur under your account, whether or not authorized by you. We may suspend or terminate accounts that we reasonably believe are compromised, inaccurate, fraudulent, abusive, duplicative, or in violation of these Terms.

5. Challenges

5.1 Challenge Structure

PropTide may offer free or paid challenges, limited-time competitions, seasonal contests, invite-only events, or other competitive formats. Each challenge may have its own rules, including:

• eligibility requirements;
• entry windows and start/end times;
• entry fees, if any;
• scoring methodology;
• permitted instruments, contracts, or selections;
• maximum or minimum activity requirements;
• tie-break rules;
• prize structures;
• disqualification criteria; and
• settlement and finality rules.

Those challenge-specific rules are incorporated into these Terms by reference. If there is a conflict between these Terms and a specific challenge rule set, the challenge rule set will control for that challenge.

5.2 Skill-Based Format

Challenges are intended to be based on participant skill, using the scoring systems, performance metrics, and ranking logic described in the applicable challenge rules. PropTide reserves the right to define and revise the metrics, formulas, inputs, or ranking procedures used to determine challenge outcomes.

5.3 Entry Fees and Payments

If a challenge requires an entry fee:

• you authorize us or our payment processor to charge the applicable fee;
• all fees are stated in U.S. dollars unless otherwise specified;
• fees are generally non-refundable once a challenge begins, except as required by law or as expressly stated in the applicable challenge rules; and
• you are responsible for any taxes, bank fees, card charges, or other third-party charges associated with your payment.

5.4 Prizes

If a challenge offers prizes, PropTide may award cash, credits, promotional benefits, merchandise, or other rewards as described in the applicable challenge rules. Prize awards are subject to:

• verification of eligibility and compliance;
• fraud screening and identity verification;
• tax reporting requirements;
• any minimum participation thresholds stated in the rules; and
• our right to withhold, reduce, deny, or reclaim a prize if we reasonably determine that a participant violated these Terms, manipulated the challenge, or gained an unfair advantage.

PropTide may require winners to complete affidavits, tax forms, identity checks, publicity releases where permitted by law, or other documentation before prize distribution.

5.5 Finality of Scoring

All challenge scoring, leaderboard positions, tie-break outcomes, and final placements are determined by PropTide in its discretion pursuant to the applicable rules. We reserve the right to correct errors, recalculate results, resolve ambiguities, and make final determinations in the event of bugs, data discrepancies, outages, abuse, or unforeseen circumstances.

5.6 Cancellation, Suspension, and Modification

We may cancel, suspend, delay, void, modify, or restart any challenge if we determine that integrity, fairness, legality, or technical operation has been compromised, including due to:

• system errors or outages;
• inaccurate or unavailable data feeds;
• exploits, bots, collusion, or cheating;
• force majeure events;
• changes in law or third-party availability; or
• insufficient participation.

In such cases, our remedies may include refunds, credits, resets, revised scoring, disqualifications, or no remedy, depending on the circumstances and applicable challenge rules.

6. Simulated Performance and Platform Metrics

Any performance metric displayed on the Services, including P&L, return percentages, win rates, profit factors, rankings, or composite scores, may be based on simulated assumptions or platform-defined formulas. These metrics may differ materially from live-market or real-money performance.

You acknowledge that:

• hypothetical and simulated results have inherent limitations;
• past performance does not predict future results;
• challenge performance may not be reproducible in real trading; and
• leaderboard success does not imply professional competence, profitability, or suitability for any financial activity.

7. Third-Party Data and Services

The Services may rely on or display data, pricing, odds, market information, news, analytics, APIs, payment processors, identity-verification providers, hosting providers, and other third-party services.

We do not guarantee that third-party data is accurate, complete, timely, or uninterrupted. Data delays, revisions, outages, inconsistencies, or feed errors may affect challenge scoring or user experience. We are not responsible for third-party services or content, and your use of them may be subject to separate terms.

8. Prohibited Conduct

You agree not to, and not to assist or encourage others to:

• violate any law, regulation, or third-party right;
• create multiple accounts to gain an unfair advantage;
• impersonate another person or misrepresent your identity;
• use bots, scripts, crawlers, automation, or other unfair means to interact with challenges or the platform;
• manipulate scoring, exploit bugs, reverse engineer challenge logic for abuse, or interfere with leaderboards;
• collude with other users;
• engage in fraud, money laundering, chargeback abuse, or payment abuse;
• scrape, copy, reproduce, or commercially exploit the Services or content without authorization;
• upload malware or interfere with the integrity or performance of the Services;
• harass, threaten, dox, or abuse other users;
• post unlawful, defamatory, obscene, or infringing content; or
• attempt to circumvent suspensions, blocks, or geographic restrictions.

We may investigate suspected misconduct and cooperate with law enforcement or regulators where appropriate.

9. User Content and Feedback

You may be able to submit usernames, profile information, posts, comments, messages, challenge selections, strategies, or other content ("User Content"). You retain ownership of your User Content, but you grant PropTide a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use that User Content as necessary to operate, improve, promote, and provide the Services.

You represent and warrant that:

• you own or control all rights necessary to submit the User Content;
• the User Content does not violate these Terms, any law, or any third-party rights; and
• the User Content is not misleading, fraudulent, or harmful.

If you provide feedback, ideas, or suggestions, we may use them without restriction or compensation to you.

10. Intellectual Property

The Services, including all software, scoring systems, challenge formats, design elements, graphics, trademarks, logos, text, data compilations, and other content provided by PropTide, are owned by or licensed to PropTide and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or otherwise exploit any part of the Services except as expressly permitted by us in writing.

11. Communications

You consent to receive communications from us electronically, including by email, in-app notifications, SMS (if you opt in), and postings on the Services. These communications may include transactional messages, account alerts, challenge updates, legal notices, and promotional content where permitted by law.

You are responsible for keeping your contact information current.

12. Taxes

You are solely responsible for determining and paying any taxes arising from your use of the Services or receipt of any prize, except to the extent we are required by law to withhold or report. We may request tax forms or other documentation before issuing certain prizes.

13. Suspension and Termination

We may suspend, restrict, or terminate your account or access to the Services at any time, with or without notice, if we believe:

• you violated these Terms or challenge rules;
• you are ineligible;
• your account poses a security, legal, or reputational risk;
• you engaged in fraud, abuse, or prohibited conduct; or
• suspension is necessary to protect the Services, users, or third parties.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any accrued obligations.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPTIDE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, PROPTIDE DOES NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
• ANY CHALLENGE WILL BE AVAILABLE OR OPERATE AS PLANNED;
• ANY DATA, LEADERBOARD, SCORE, OR RESULT WILL BE ACCURATE OR COMPLETE;
• ANY DEFECT WILL BE CORRECTED;
• THE SERVICES WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; OR
• PARTICIPATION WILL RESULT IN ANY PARTICULAR OUTCOME, BENEFIT, OR PRIZE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPTIDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PROPTIDE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO PROPTIDE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless PropTide and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the Services;
• your User Content;
• your violation of these Terms or applicable law; or
• your infringement or violation of any third-party rights.

17. Dispute Resolution

Option A: Arbitration Clause

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, except that either party may bring an individual claim in small claims court if eligible. Class actions, class arbitrations, and representative actions are not permitted.

The arbitration will be administered by AAA under its applicable rules. The arbitration will take place in Travis County, Texas, unless the parties agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

You and PropTide each waive any right to a jury trial and to participate in a class action.

Option B: Court Clause

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction and venue of those courts.

Choose either Option A or Option B before publishing. Do not use both.

18. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent preempted by federal law.

19. Changes to the Services or Terms

We may modify the Services or these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms, updating the "Last Updated" date, or using other reasonable means. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

20. Miscellaneous

These Terms, together with any incorporated policies or challenge rules, constitute the entire agreement between you and PropTide regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of that provision or any other right. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
